Terms of Service
1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and the operators of mxguard.sh ("MXGuard", "we", "us") governing your purchase and use of the MXGuard software, license keys, and any related services.
By purchasing a license, downloading the software, or using the service, you agree to these Terms. If you do not agree, do not use the service.
Card payments are processed by Stripe; cryptocurrency payments are processed by BTCPay Server and NOWPayments; wire transfers are handled directly. Your transaction is governed by the relevant processor's terms in addition to these Terms, which apply to your use of the software itself.
2. Definitions
- Software — the MXGuard email validation engine, including source code, binaries, and documentation we deliver to you.
- License Key — the cryptographic key issued to your account that activates the Software.
- Deployment — a single production cluster of the Software running under a single License Key.
- Update Window — the period during which you are entitled to receive new releases of the Software (12 months from purchase date for Starter; as agreed in writing for Enterprise).
3. License grant
Subject to payment in full and ongoing compliance with these Terms, MXGuard grants you a perpetual, worldwide, non-exclusive, non-transferable license to install, run, and modify the Software for the operational purposes of your business or organization.
The license covers one (1) production Deployment per License Key purchased. You may run unlimited non-production environments (staging, QA, development) under the same key.
You may add unlimited validation nodes to your Deployment without additional license fees.
4. Restrictions
You may not:
- Resell, sublicense, rent, lease, or distribute the Software or any derivative as a standalone product.
- Operate the Software as a public, multi-tenant SaaS validation service open to third parties unrelated to your business.
- Remove or obscure any copyright, trademark, or attribution notices in the Software.
- Share your License Key with parties outside your organization.
- Use the Software to send unsolicited commercial email or to facilitate spam, phishing, or any other activity prohibited by Section 8.
You may embed the Software inside your own product or platform as a back-end validation component, provided that the validation capability is not the primary product being sold.
5. Payment & taxes
Prices are listed in US Dollars on the Pricing page. Card transactions are processed by Stripe. Cryptocurrency payments are processed by BTCPay Server (Bitcoin) or NOWPayments (other cryptocurrencies). Wire transfers and POs are handled directly via invoice.
For Bitcoin or wire-transfer orders, payment must clear before the License Key is issued. Cryptocurrency transactions are final once confirmed on-chain.
You are responsible for any taxes, duties, or levies imposed in your jurisdiction. We will issue a VAT-compliant invoice on request.
6. Renewals & updates
The Software license itself is perpetual — once purchased, you may continue to run the version you received forever.
Access to new releases, security patches, and updates is included for the duration of the Update Window. After the Update Window expires, you may renew at the then-current renewal rate (typically 30–40% of new-license price) to extend updates and support for an additional year.
Non-renewal does not deactivate your existing Deployment. The Software you have continues to run; you simply stop receiving new releases.
7. Support
During the Update Window, support is provided via email at support@mxguard.sh. We aim to respond within one business day. Enterprise customers may have separate response-time commitments specified in writing.
Support covers the Software itself: bugs, deployment guidance, and configuration questions. It does not cover bespoke development, third-party infrastructure issues, or operational management of your servers.
8. Acceptable use
You may not use the Software, directly or indirectly, to:
- Validate email addresses for the purpose of sending unsolicited commercial messages, spam, phishing, or fraudulent communications.
- Build or maintain lists for sale to third parties without verifiable consent from the underlying recipients.
- Circumvent authentication, authorization, or rate-limiting controls of any third-party service.
- Conduct any activity prohibited by the laws of your jurisdiction.
Violations may result in immediate license revocation without refund. Where required, we will cooperate with law enforcement in good-faith investigations.
9. Intellectual property
MXGuard and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. Your license grants usage rights only — not ownership of the underlying code.
Modifications you make to the source code for your own Deployment are owned by you, but the underlying Software remains ours.
The MXGuard name, logo, and "mxguard.sh" wordmark are our trademarks. You may reference them factually (e.g., "powered by MXGuard") but may not use them in a way that implies endorsement or partnership without written consent.
10. Warranty disclaimer
The Software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Email validation is inherently probabilistic. Some email servers will not respond to RCPT TO probes, will accept all addresses (catch-all), or will rate-limit aggressively. We do not warrant that the Software will detect every invalid address or will never produce false positives.
11. Limitation of liability
To the maximum extent permitted by law, MXGuard's total aggregate liability arising from or related to these Terms shall not exceed the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.
12. Termination
You may stop using the Software at any time. Refund eligibility is governed by our Refund Policy.
We may terminate your license and revoke your License Key if you materially breach these Terms (in particular Sections 4 and 8) and fail to remedy the breach within 14 days of written notice. On termination for cause, you must cease use and destroy all copies of the Software within 30 days. No refund is due on termination for cause.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email to active license holders at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance of the revised Terms.
The version in force at the time of your purchase governs your existing license unless you explicitly accept a newer version (typically as part of a renewal or upgrade).
14. Governing law
These Terms are governed by the laws of the Republic of North Macedonia, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of Skopje, North Macedonia, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
If any provision is held unenforceable, the remainder shall remain in full force and effect.
